2. Commission For each sale of a Cedar Rock Barns building made by the Reseller, the Reseller will be entitled to a commission of 10% of the total sale price. 3. Display and Presentation The Reseller agrees to maintain a clean, organized, and presentable display area for Cedar Rock Barns' Products. The Reseller acknowledges that the presentation of the Products reflects the brand image of Cedar Rock Barns. 4. Inventory Cedar Rock Barns will provide an initial inventory of Products to the Reseller with a retail value of up to $30,000 at no cost to the Reseller. The Reseller acknowledges that it is responsible for ensuring the security of the provided inventory, and any damage, loss, or theft of the Products will be the sole responsibility of the Reseller. Any additional inventory required beyond the initial allocation will be subject to an 8% interest charge or the Reseller may choose to purchase additional models for display. By accepting this inventory, the Reseller agrees to maintain appropriate security measures to prevent damage, loss, or theft of the Products, and to promptly report any incidents to Cedar Rock Barns. 5. Sales Process The Reseller will be responsible for collecting customer deposits and balances due for each sale. Cedar Rock Barns will invoice the Reseller for the total sale amount minus the Reseller's 10% commission. The Reseller shall remit payment to Cedar Rock Barns within 10 days of the invoice date. 6. Discounts Any discounts provided to customers on retail sales must be pre-approved by Cedar Rock Barns. Unauthorized discounts will be charged back to the Reseller. 7. Service Calls and Building Exchanges In the event inaccuracies in orders received from the Reseller result in service calls or the need for building exchanges, the Reseller shall bear the cost associated with these services. 8. Term and Termination This Agreement shall commence on the date first written above and shall continue in effect until terminated by either party with 14 days' written notice. Either party may terminate this Agreement for material breach by the other party if such breach is not cured within 14 days of written notice. 9. Governing Law This Agreement shall be governed by and construed in accordance with the laws of the state of Michigan, without regard to its conflicts of laws principles. 10. Entire Agreement This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, oral or written. 11. Amendments No amendment or modification of this Agreement shall be valid or binding unless in writing and signed by both parties.
